Pro Agreement (Vendors & Contractors)

Version 1.1, effective October 17, 2026.

The short version

1. Who this agreement is for

This Pro Agreement is between VSF Marketing LLC, a Florida limited liability company doing business as Tampa Services ("Tampa Services") and the business that applies to receive service requests ("Pro," "you"). The person accepting confirms they can bind the business. It includes our Homeowner and Business Owner Terms' platform disclaimer, the Privacy Policy and the Review Policy.

2. We are a platform, not a contractor

Tampa Services runs a website and app that shares information and passes service requests to independent local businesses ("Providers"). We do not perform, supervise, direct, inspect or guarantee any repair, installation, construction, maintenance or other service. We are not a contractor, subcontractor, employer, agent, partner or joint venturer of any Provider or customer, and we are not a party to any estimate, contract or payment between a customer and a Provider.

Nothing on the platform is an offer by Tampa Services to do contracting work under Chapter 489, Florida Statutes. Any work is offered, priced, contracted, performed and warranted only by the Provider.

Where we show "License & insurance on file," it means only that a Provider gave us a number or document at a point in time. It is not a promise that a license or policy is current, valid or enough for your job. Verify a Provider yourself, for example at myfloridalicense.com, and ask for a certificate of insurance before work starts.

Our articles, cost ranges and checklists are general information, not legal, insurance, engineering, tax or financial advice. Local rules and permits vary. Confirm with your building department or a qualified professional.

3. Independent business

You are an independent business, not our employee, agent, partner or franchisee. You alone decide whether to take a job, how to do it, your prices, your staff and tools. You are responsible for your taxes, permits, wages, workers' compensation and contracts with customers.

4. License, insurance and honest information

You promise that you and anyone doing work hold every license, registration and permit required for the work you accept (including under Chapter 489, Florida Statutes, where it applies), and that you keep general liability insurance and workers' compensation (or a valid exemption) in force. You will keep the documents in your portal current. Leads stop automatically when a credential expires and resume when we verify the renewal.

Only accept work your license allows. You will not use another person's license, and you will comply with Florida rules on property insurance claims (section 489.147), deposits, contracts, lien law notices and consumer protection (FDUTPA).

Everything you tell us and customers must be true. You will not make claims you can't back up, and you will not describe yourself as endorsed, certified or guaranteed by Tampa Services.

5. Leads and lead fees

A lead is a customer's request for a service in your trades and ZIP codes. We offer each lead to one Pro at a time in rotation. Offers show the service, area and job details but not the customer's contact details until you accept.

You have 30 minutes to accept or decline an offer, counted only from 7am to 9pm Eastern (15 minutes for emergencies, any hour). If you don't answer in time the offer moves to the next Pro. Missing 3 offers in 7 days may pause your leads.

When you accept, the posted lead fee for that lead is charged from your prepaid credit balance. The fee is for the introduction, not for any result. We don't promise that a customer will hire you, answer, or pay. We describe leads honestly: a lead is a request someone submitted for a service; it is not a promise that the customer is ready to hire.

Prices are shown in your portal before you accept and may change for future leads with notice in the portal.

6. 6-hour contact rule

After you accept a lead you must contact the customer and tap "Contacted" in your portal within 6 business hours (the clock runs only from 7am to 9pm Eastern). We remind you in your portal at hour 4. Call or text only between 8am and 8pm in the customer's time zone unless the customer asks otherwise.

If you don't mark the lead contacted (and the customer hasn't confirmed you contacted them) by the deadline, the lead is taken back and offered to the next Pro, the customer is told they have a new Pro, and you forfeit the lead fee. A forfeited fee is not eligible for credit.

7. Prepaid credits

You buy lead credits in advance. Credits are a prepaid, closed-loop balance usable only for Tampa Services fees (lead fees, extra ZIP codes and other posted fees). Credits are not money, not a deposit, not a bank or stored-value account, earn no interest, can't be transferred, sold or used with anyone else, and can't be withdrawn or cashed out, except as stated below or required by law.

Purchased credits are non-refundable once used. If you close your account in good standing, you may ask in writing within 60 days for a refund of unused purchased credits (not promotional or bonus credits), less any amounts you owe; we pay it within 30 days to the original payment method. Promotional credits have no cash value and expire on the stated date.

If your balance is too low for a lead's fee, that lead goes to the next Pro.

8. Lead credits (the only reasons)

You may ask for a credit within 48 hours of the charge only for these reasons: (1) the phone number is disconnected or fake, (2) the customer says they never made the request, (3) the job is outside your service area, or (4) the job is not a service you offer. Our team reviews every request; approved credits go back to your credit balance (never cash). We may deny requests without evidence, made after the 48 hours, for leads you didn't contact within 6 hours, or when you reach a pattern of excessive requests.

9. Payment disputes and chargebacks

Contact us before disputing a payment with your bank. If you file a chargeback or payment reversal, we may freeze your credits and pause your leads until it is resolved, and you owe any credits already used plus reasonable fees we are charged. Sending a chargeback for credits you already used is a breach of this agreement.

10. Customer data and contact rules

Use a customer's information only to respond to that request and to do the job they hire you for. Don't add them to marketing lists, sell, share, rent or resell their information, or hand the lead to another business. Keep it secure, delete it when you no longer need it, and tell us at once about any data breach.

When you call or text a customer you must follow the TCPA, the Florida Telephone Solicitation Act (section 501.059) and section 501.616, honor every "stop" request, and never use an autodialer or prerecorded message without the consent the law requires.

11. No soliciting, no referrals, no reselling, no going around us

While you are a Pro and for 12 months after you last receive a lead about a customer, you will not use our customers' contact details to sell other services, solicit them for other businesses, or pay or receive referral fees for them. You won't resell or share leads, or send a Tampa Services customer to another contractor for a fee.

You won't encourage customers to cancel through Tampa Services or move a request off the platform to avoid our fees, and you won't contact customers who were offered to you but not accepted by you. This does not stop you from doing the job a customer hired you for, or from serving customers you already had before the lead.

Advertising is separate: Pros may not buy advertising on Tampa Services (advertising is only for businesses that are not contractors).

12. Reviews and conduct

You won't write, buy or arrange fake reviews, review yourself or competitors, offer anything in exchange for a review or for changing one, or pressure customers about reviews (16 CFR Part 465). You may reply to reviews and ask us to look at a review under the Review Policy.

Be professional and safe. No harassment, discrimination, bait-and-switch pricing, false emergencies or pressure tactics.

13. Indemnity

You will defend, indemnify and hold harmless the Tampa Services Parties from all claims, losses, fines and costs (including reasonable attorneys' fees) arising from your work, products, staff, subcontractors, pricing, contracts, communications with customers, licenses, insurance, data handling or breach of this agreement or the law.

14. Suspension and ending this agreement

Either side may end this agreement at any time in writing. We may pause or remove you right away if your credentials lapse, customers report problems, you break this agreement or the law, or to protect customers. Sections about fees owed, data, non-circumvention, indemnity, liability and disputes survive. Our total liability to you is limited as stated below and in any case to the fees you paid in the 12 months before the claim.

15. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT A PROVIDER WILL BE AVAILABLE, RESPOND, QUOTE A PRICE, DO GOOD WORK OR FINISH A JOB, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

16. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, TAMPA SERVICES, VSF MARKETING LLC AND THEIR OWNERS, MEMBERS, MANAGERS, EMPLOYEES AND CONTRACTORS (THE "TAMPA SERVICES PARTIES") ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA OR PROPERTY DAMAGE, OR FOR ANY ACT, OMISSION, WORK, PRODUCT, PRICE OR CONDUCT OF ANY PROVIDER, CUSTOMER OR ADVERTISER.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TAMPA SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

These limits do not apply where the law does not allow them, including liability for our own fraud or intentional misconduct.

17. Disputes: informal resolution, arbitration and class-action waiver

Please read this section carefully. It affects your rights.

Talk to us first. Before starting any claim, send us a written description of the problem and what you want, using a support ticket at www.tampa.services/support/ with the subject "Legal notice." Both sides agree to try in good faith to resolve it for 30 days.

Binding arbitration. If we can't resolve it, any dispute arising out of or relating to these terms or the platform will be decided by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for consumers) or Commercial Arbitration Rules (for businesses), and the Federal Arbitration Act governs this section. The arbitrator decides all questions, including whether a claim must be arbitrated. Hearings will be held in Hillsborough County, Florida, by phone or video, or where the law requires. For consumer claims we pay the filing and arbitrator fees that the AAA Consumer Rules assign to a business.

Exceptions. Either side may bring an individual claim in small claims court in Hillsborough County, Florida if it qualifies, and either side may ask a court for an injunction to stop misuse of its intellectual property, data or platform.

Class-action waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine claims of more than one person. If this waiver is found unenforceable for a claim, that claim (and only that claim) goes to court and the arbitration agreement does not apply to it.

Jury waiver. To the extent a claim goes to court, both sides waive a jury trial.

30-day opt-out. You may opt out of this arbitration agreement within 30 days after you first accept these terms by opening a support ticket with the subject "Arbitration opt-out" that includes your name, account email and a clear statement that you opt out. Opting out does not affect any other part of these terms.

Time limit. Any claim must be filed within one year after it arose, or it is permanently barred, unless the law requires a longer period.

18. Florida law and venue

Florida law governs these terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration section. Subject to the arbitration section, the exclusive venue for any court action is the state courts in Hillsborough County, Florida or the U.S. District Court for the Middle District of Florida, Tampa Division, and you consent to personal jurisdiction there.

19. General

Changes. We may update these terms. We will post the new version with a new version number and effective date and, for changes that materially affect your rights, tell you in your portal or ask you to accept again. Changes don't apply to a dispute we already know about. If you keep using the platform after a change takes effect, the new version applies.

Whole agreement. These terms, plus the Privacy Policy, the Communications & SMS Policy and the Review Policy, are the whole agreement about the platform. If a part is unenforceable, the rest still applies. Our not enforcing a right is not a waiver. You may not transfer these terms; we may transfer them with our business.

Electronic acceptance. Checking the box and creating an account (or submitting a request) is your electronic signature. We keep a record of which document, which version and when you accepted it.
